Wind River Acquires Comsys

ALAMEDA, CA — August 30, 2007 — Wind River Systems, Inc. (NASDAQ: WIND), the global leader in Device Software Optimization (DSO), today announced that it has acquired privately-held S.C. Comsys S.R.L., an embedded software professional services organization based in Romania. Founded in 2000, Comsys currently has 52 employees and a unique depth of knowledge and expertise in device software services. With this acquisition, Wind River gains access to top talent with hands-on device software experience in telecom, mobile, and aerospace and defense.

Under the terms of the agreement, Wind River will pay up to US$1.4 million to acquire all outstanding shares of Comsys. Wind River expects that the acquisition will not have a significant effect on earnings per share in FY08.

Having a strong professional services offering is increasingly essential in the device software space. As demand continues to grow for ever more complex devices and product development cycles shrink because of time-to-market pressures, Wind River customers will need increased services support and expertise. Wind River initially began working with Comsys as a partner in 2004 and successfully collaborated on multiple joint engagements for key Wind River customers including Palm, IBM and EADS. Through this acquisition, Wind River will be able to greatly expand its strategic services footprint and offerings in Europe, while also leveraging Comsys' expertise globally across other key customers.

"In our three years of working with Comsys, it became very apparent that Wind River and Comsys are highly compatible organizations — there is a shared emphasis on engineering excellence, a passion for device software and an unwavering focus on customers' needs," said Ken Klein, Chief Executive Officer, Wind River. "This acquisition will not only enable Wind River to expand its presence in EMEA, but also will give us access to some of the most experienced device software engineers in the world."

Comsys' Romanian Development Center will begin working on several key Wind River initiatives including:

  • Wind River Linux — with an emphasis on automotive

  • Wind River VxWorks Platforms — with an emphasis on networking

  • Test and verification — for existing aerospace and defense projects

  • EMEA customer engagements

Palm Selects Wind River as its Preferred Linux Platform Provider for the Palm Foleo Mobile Companion

SAN FRANCISCO, LinuxWorld, Booths #740 and #925, Aug. 7,
2007
-- Wind River Systems, Inc. (NASDAQ: WIND), the global leader in
Device Software Optimization (DSO), and Palm, Inc. (NASDAQ: PALM) today
announced that Palm has selected Wind River® Platform for Consumer Devices,
Linux Edition as its open standard Linux platform for future Palm® Foleo™
software releases. Palm selected Wind River Linux for its standard development
and deployment environment that will help speed applications to market, while
still meeting the requirements for a stable and robust open mobile platform.
Along with the platform, Wind River is providing its Wind River Workbench
development suite, professional services and customer support to help Palm and
its development community attain the efficiencies needed to compete in the
ever-changing mobile market. Today's announcement reaffirms Wind River's growing
leadership as a mobile Linux provider.

Palm and Wind River will work to incorporate Wind River's Platform for
Consumer Devices, Linux Edition to the Foleo over the coming months. The Palm
Foleo mobile companion is for people who understand that sometimes less is more.
With the press of one button, the mobile companion's large screen displays
wireless email from a paired smartphone. A smartphone is great for finding quick
bits of information or sending a brief response to an email. But there are times
when a full-size keyboard and a big screen is preferred to view attachments,
type longer emails, or to get a bigger-screen look at web pages and photos.
Plus, Internet access is available anywhere there is cell phone data coverage,
or when the Foleo is within range of a Wi-Fi hotspot.(1) With Foleo's instant
on/off capability, light and small size, and 5-hour battery life, Palm expects
the mobile companion to establish a new category of personal-computing products.

"By building the Foleo on an open Linux-based platform and publishing the
tools developers need, Palm hopes to establish a vibrant developer community to
create new applications that extend the mobile companion's built-in
capabilities," said Mark Bercow, senior vice president, Business Development,
Palm, Inc. "Wind River's open Linux platform gives us the reliability,
performance and stability we need to continue driving innovation. Palm Foleo
allows you to switch between applications at the touch of a button, play a game
or write a memo, and synchronize your email. The Foleo makes you more productive
than ever on the go."

With Wind River's solution, mobile manufacturers now have a low-risk choice
for an OEM-grade mobile Linux platform, providing a robust development and
operating platform. Wind River provides the full service and support of its
technologies across a range of complex mobile devices. As a result, customers
can leverage the benefits of roll your own (RYO) while receiving the
efficiencies of developing on pre-integrated hardware and software.

"By offering an incredibly reliable architectural platform combined with an
organization committed to operational excellence, Wind River is rapidly becoming
the commercial Linux distributor of choice for mobile companies," said John
Bruggeman, chief marketing officer, Wind River. "The stability and flexibility
of Wind River's Platform for Consumer Devices, Linux Edition, coupled with Wind
River Workbench development suite give Palm the strategic platform and tools it
needs to differentiate the Foleo and help it deliver a solid platform for
developers."

AMX Standardizes Modero Touch Panels on Wind River Linux

SAN FRANCISCO, LinuxWorld, Booth #740 — August 7, 2007 — Wind River Systems, Inc. (NASDAQ: WIND), the global leader in Device Software Optimization (DSO), today announced that AMX will standardize its Modero® Touch Panels on Wind River® Linux, the DSO industry's leading commercial grade Linux Platform. AMX expanded its existing relationship with Wind River after conducting an ROI (return-on-investment) analysis, forecasting up to $2 million in savings by opting for Wind River Linux instead of roll-your-own Linux. Additionally, by standardizing on Wind River’s platform, AMX engineers will benefit from higher productivity and efficiency by taking advantage of Wind River's Workbench On-Chip Debugging tool suite and world-class support services.

"Choosing Wind River Linux has enabled our engineers to spend more time developing the unique features that have always made our Modero Touch Panels such a customer favorite," said Rick Gelling, Director of Firmware Engineering at AMX. "Having successfully standardized a different AMX product on Wind River's VxWorks platform, we knew that Wind River's Linux platform would also be a great choice for our touch panels."

"Wind River understands the complex needs of device developers and as such, we offer unprecedented flexibility and support to help them bring their devices to market faster and at lower cost," said Jason Pettit, Product Line Manager of Linux Platforms at Wind River. "We are pleased that AMX has made the decision to expand its relationship with Wind River and standardize on our Linux platform."

In addition to selecting a Linux distribution, it was important for AMX to identify a debugging solution that was complete, comprehensive and improved the overall efficiency of its development teams. After careful consideration, AMX chose Wind River Workbench, On-Chip Debugging Edition to support AMX's goals to get to market fast, improve product quality by locating problems early in the development cycle and reduce costs by using the JTAG interface and the industry-standard Eclipse platform. The ability to move seamlessly from hardware bring-up and debugging with a JTAG interface to deep software analysis is one reason AMX chose the Wind River solution. Gelling's team relies upon Wind River's complete development and debug product suite, including Wind River ScopeTools for device software analysis.

"We performed an ROI analysis and believe we can save up to $2 million over the next two years with Wind River Linux as compared to Roll-Your-Own Linux," said Gelling. "Standardizing on one toolset across the company is very powerful from a cost-saving and productivity standpoint."

Wind River Joins LiMo Foundation, Reinforces Commitment to Reduce Complexity of Linux for Mobile Handsets

ALAMEDA, CA – August 6, 2007 – Wind River Systems, Inc. (NASDAQ: WIND), the global leader in Device Software Optimization (DSO), today announced that it has joined the LiMo Foundation to support the organization's mission to develop a Linux-based, open mobile communication device software platform. Founded by industry leaders Motorola, NEC, NTT DoCoMo, Panasonic Mobile Communications, Samsung Electronics, and Vodafone, the LiMo Foundation aims to provide key benefits for the mobile industry including lower development costs, increased flexibility, and a richer mobile ecosystem - all of which contribute to the group's ultimate objective of creating compelling, differentiated and enhanced consumer experiences. In joining the Foundation as a Core Member, Wind River becomes the first commercial Linux platform and tools provider in the consortium, further demonstrating the company's leadership in Linux for mobile handsets and commitment to the mobile handset industry.

"The LiMo Foundation recognizes the importance of Wind River's capabilities in providing a highly mature Linux distribution, real-time Linux and tightly integrated tools," said Kiyohito Nagata, Senior Vice President and Managing Director at NTT DoCoMo and Chairperson of the LiMo Foundation. "Wind River will provide tremendous value through the integration of LiMo middleware with the Wind River Linux distribution and build system, supporting tools and technologies and extensive support of silicon solutions."

The Foundation's open mobile software platform will be created through a balanced and transparent contribution process. LiMo will provide an API specification, architecture, references to open source code, new source code based reference implementation components and specifications for referenced third party software. Wind River will work with the founders and other core members to complete a compelling mobile Linux platform system with integrated development tools, while also working on LiMo's other goals of minimizing fragmentation in mobile Linux and expanding a robust mobile Linux developer ecosystem.

"Historically the market for Linux-based mobile platforms has been highly fragmented, leading to unwarranted complexity and excessive development cycles, which ultimately slow time to market," said Jason Whitmire, General Manager, Mobile Solutions at Wind River and the company's board member in the Foundation. "Wind River joined the LiMo Foundation because we share a common goal – to enable the industry to manage and reduce complexity by providing a compliant Linux mobile platform and tightly integrated tools that lay the foundation for a stable, predictable roadmap that handset original equipment manufacturers and operators can depend on. By taking a leadership role within the LiMo ecosystem, Wind River reinforces its commitment to providing world-class products and support to mobile handset market leaders."

Wind River Linux Supports the Foundation Platform
With Wind River joining the Foundation, LiMo members now have a compliant Linux distribution, build system and integrated tool suite that they can leverage to build their respective handsets. Only Core Members may ship commercial products together with the LiMo middleware, and Wind River Linux will provide optimized solutions for any handset original equipment manufacturer (OEM) or operator seeking a LiMo-compliant operating system foundation. Handset OEM LiMo members are assured that LiMo-compliant devices with Wind River Linux will:

  • Be highly optimized and integrated with the LiMo middleware components and hardware

  • Have a platform from a stable public company

  • Receive worldwide support and professional services for their operating system foundation

  • Reduce time to market by leveraging the LiMo platform rather than 'rolling their own' Linux distribution and integrating other LiMo-certified applications
